Terms of Services

These Terms of Service (the “Terms”) are a legally binding agreement between Graphitty Digital LLC, the owner and operator of the Layouts brand (“Graphitty Digital LLC,” “Company,” “we,” “us,” or “our”), and the person or legal entity that purchases, subscribes to, accesses, or uses the Layouts services (“Client,” “you,” or “your”).

Layouts is a brand of Graphitty Digital LLC and is not a separate legal entity.

References in these Terms to “Layouts” refer to the creative subscription service, website, platform, products, communications, and related services operated by Graphitty Digital LLC under the Layouts brand.

All agreements, payment obligations, intellectual-property rights, liabilities, and contractual relationships arising through Layouts are with Graphitty Digital LLC.

By creating an account, purchasing a Subscription, completing checkout, accepting these Terms, submitting a Request, accessing the Service, or otherwise using Layouts, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not purchase or use the Service.

1. Definitions

For purposes of these Terms:

“Company”

Means Graphitty Digital LLC, the legal entity that owns and operates Layouts.

“Layouts”

Means the creative subscription brand and Service operated by Graphitty Digital LLC.

“Service”

Means the subscription-based creative, graphic design, branding, digital design, motion, video, or other services made available through Layouts.

“Subscription”

Means a recurring Service plan purchased by the Client.

“Plan”

Means the particular Subscription tier purchased by the Client.

“Plan Scope”

Means the services, active production capacity, limitations, exclusions, and features associated with the Client’s Plan as disclosed on the applicable pricing page, checkout page, proposal, order form, or other written purchasing documentation at the time of purchase.

“Request”

Means one defined creative production task or reasonably sized unit of work submitted through an approved Layouts communication or project-management channel.

“Active Request”

Means a Request that is currently occupying production capacity under the Client’s Subscription.

“Request Queue”

Means the Client’s list of submitted Requests awaiting or undergoing production.

“Specialist Request”

Means a Request requiring specialist capability, including, where applicable, branding, web design, UI/UX, motion design, video editing, advanced illustration, or another discipline designated by Layouts.

“Complex Project”

Means work that reasonably requires multiple Requests, production stages, milestones, Deliverables, screens, pages, concepts, edits, or approvals.

Examples may include:

  • Brand identities;

  • Websites;

  • UI/UX projects;

  • Large presentation decks;

  • Campaign systems;

  • Motion projects;

  • Video projects;

  • Large batches of creative assets.

“Deliverables”

Means final creative work produced specifically for the Client under an active Subscription.

“Revision”

Means a reasonable modification to work that remains within the original scope, purpose, format, and approved creative direction of a Request.

“Client Materials”

Means all materials supplied by or on behalf of the Client, including logos, fonts, copy, images, video, audio, brand guidelines, product information, data, documents, trademarks, references, credentials, and other materials.

“Source Files”

Means editable production files associated with a final Deliverable where such files are included within the applicable Service.

2. The Service

Layouts provides subscription-based creative services through Graphitty Digital LLC.

Services available to a Client depend entirely on the Plan purchased by that Client.

Purchasing a Layouts Subscription does not provide access to every service offered by Layouts.

Different Plans may include or exclude different disciplines, features, collaboration methods, turnaround expectations, or production capacities.

Services may include, depending on the Plan:

  • Graphic design;

  • Social media design;

  • Advertising creative;

  • Marketing materials;

  • Presentation design;

  • Print design;

  • Brand collateral;

  • Brand identity design;

  • Website design;

  • Landing-page design;

  • UI design;

  • UX design;

  • Illustration;

  • Motion design;

  • Animation;

  • Video editing;

  • Other creative services expressly identified as included.

A service is included only where it is expressly identified as included within the Client’s Plan.

3. Plan-Specific Services

The Plan Scope displayed or communicated to the Client at the time of purchase forms part of these Terms.

Certain Plans may include graphic design while specifically excluding services such as:

  • Brand identity;

  • Brand strategy;

  • UI/UX;

  • Website design;

  • Motion design;

  • Animation;

  • Video editing;

  • 3D;

  • Development;

  • Advanced illustration;

  • Other specialist services.

The availability of a service elsewhere on the Layouts website does not mean that service is included in every Subscription.

Where a Client requests work outside the applicable Plan Scope, Layouts may:

  • Decline the Request;

  • Ask the Client to upgrade;

  • Treat the work as separately billable;

  • Recommend a fixed-scope project;

  • Offer additional production capacity;

  • Propose another commercial arrangement.

Layouts may reasonably determine whether a Request falls within the applicable Plan Scope, subject to applicable law.

4. General Service Exclusions

Unless expressly included in the Client’s Plan or separately agreed in writing, the Service does not include:

  • Custom software development;

  • Front-end development;

  • Back-end development;

  • HTML, CSS, JavaScript, or coding;

  • Website implementation;

  • Application development;

  • Complex 3D modeling;

  • CAD;

  • Advanced VFX;

  • Character animation;

  • Physical production;

  • Printing;

  • Manufacturing;

  • Photography;

  • Videography;

  • On-location production;

  • Full-scale copywriting;

  • Legal copy;

  • Trademark searches;

  • Legal clearance;

  • Brand naming;

  • Full strategic consulting;

  • Advanced UX research;

  • User recruitment;

  • User interviews;

  • Formal usability studies;

  • Third-party platform implementation;

  • Services expressly identified as excluded from the applicable Plan.

5. Unlimited Requests

Where a Plan is described as offering “unlimited Requests,” this means the Client may add an unlimited number of eligible Requests to the Request Queue during an active Subscription.

It does not mean:

  • Unlimited simultaneous production;

  • Unlimited completed work per day;

  • Unlimited completed work per month;

  • Unlimited production hours;

  • Unlimited designers;

  • Unlimited specialist capacity;

  • Unlimited finished Deliverables;

  • Guaranteed completion of the entire Request Queue.

Actual production is governed by:

  • The Client’s Plan;

  • Active Request capacity;

  • Specialist capacity;

  • Request complexity;

  • Client responsiveness;

  • Required revisions;

  • Available production resources;

  • The production workflow.

6. Active Production Capacity

Each Subscription provides a defined amount of simultaneous production capacity.

Depending on the Plan, capacity may include:

  • One or more standard Active Requests;

  • One or more Specialist Requests;

  • Additional priority capacity;

  • Other production structures identified within the Plan Scope.

Requests exceeding available active capacity remain in the Request Queue.

Completion of an Active Request generally allows another eligible Request to move into production.

Submitting multiple Requests does not require Layouts to work on all Requests simultaneously.

7. What Counts as One Request

A Request is one reasonably defined unit of production.

Layouts may determine the reasonable size of a Request based on:

  • Complexity;

  • Number of Deliverables;

  • Number of pages;

  • Number of screens;

  • Number of concepts;

  • Amount of supplied content;

  • Required production time;

  • Specialist skill requirements;

  • Revision requirements;

  • Other relevant production factors.

Examples of work that may reasonably constitute individual or grouped Requests include:

  • A small group of related social graphics;

  • A limited number of carousel slides;

  • A small group of related advertising adaptations;

  • Several presentation slides;

  • One website page or defined page group;

  • One UI screen or small related screen group;

  • One identity-development stage;

  • One short video edit;

  • One short motion-design Deliverable.

These examples are illustrative only and do not create fixed-output guarantees.

8. Large and Complex Projects

A Complex Project is not automatically treated as one Request.

Layouts may divide Complex Projects into sequential production Requests or milestones.

Brand Identity Example

A brand identity may include separate stages for:

  1. Creative discovery;

  2. Visual references;

  3. Moodboards;

  4. Logo concepts;

  5. Logo refinement;

  6. Typography;

  7. Color system;

  8. Supporting visual language;

  9. Brand applications;

  10. Brand guidelines.

Website Example

A website may include separate stages for:

  1. Project inputs;

  2. Sitemap;

  3. Wireframes;

  4. Visual direction;

  5. Homepage;

  6. Inner pages;

  7. Responsive layouts;

  8. Components;

  9. Design system;

  10. Handoff.

UI/UX, presentations, campaigns, motion projects, and video projects may be divided similarly.

The Client may submit the overall project brief at once, but Layouts determines how that project is divided into production Requests.

9. Multi-Billing-Period Projects

Complex Projects may extend across multiple Subscription billing periods.

Purchasing one month of Service does not guarantee completion of an entire:

  • Brand identity;

  • Website;

  • Application;

  • Large campaign;

  • Presentation;

  • Video series;

  • Motion package;

  • Other Complex Project

within that billing period.

The Subscription purchases access to defined creative capacity during the applicable paid period.

If the Subscription ends before a Complex Project is completed, Layouts is not required to continue producing remaining stages after the paid Service period ends.

10. Turnaround

Any turnaround time published or communicated by Layouts is an estimate unless Graphitty Digital LLC expressly agrees to a guaranteed deadline in writing.

References to “24–48 hour turnaround,” “1–2 business days,” or similar language generally refer to the expected time for an eligible standard Request to receive:

  • An initial delivery;

  • A production stage;

  • A first draft;

  • A meaningful progress update; or

  • Another reasonable unit of completed progress.

Such language does not mean every Request or Complex Project will be completed within that period.

More complex Requests may require additional business days.

Complex Projects may require multiple production cycles.

Turnaround may be affected by:

  • Complexity;

  • Number of pages or screens;

  • Content volume;

  • Footage volume;

  • Revision volume;

  • Specialist requirements;

  • Missing materials;

  • Client responsiveness;

  • Client approval;

  • Public holidays;

  • Technical issues;

  • Other reasonable production circumstances.

11. When Production Begins

A Request does not necessarily enter active production when it is first submitted.

Production may begin only when Layouts has received all information reasonably required to perform the Request.

This may include:

  • Final copy;

  • Dimensions;

  • Brand assets;

  • Brand guidelines;

  • Images;

  • Footage;

  • Audio;

  • Product information;

  • Data;

  • References;

  • Platform requirements;

  • Required account access;

  • Clear instructions;

  • Required approvals.

Incomplete Requests may be returned to the Client for clarification.

Turnaround estimates do not begin until a Request is sufficiently complete to enter production.

12. Revisions

Where a Plan includes unlimited revisions, revisions are unlimited only within the original scope and creative direction of the applicable Request.

A Revision may include reasonable changes such as:

  • Color adjustments;

  • Typography changes;

  • Image replacement;

  • Layout refinements;

  • Hierarchy changes;

  • Spacing changes;

  • Copy replacement where supplied by the Client;

  • Reasonable refinement of an existing approved concept.

A Revision does not include a material change in:

  • Purpose;

  • Deliverable type;

  • Platform;

  • Concept;

  • Format;

  • Strategy;

  • Audience;

  • Requirements;

  • Scope.

Examples of changes that may be treated as new Requests include:

  • Turning a social advertisement into a landing page;

  • Adding a significant number of new presentation slides;

  • Requesting an entirely new creative direction after approving another direction;

  • Converting a static design into animation where motion is a separate service;

  • Adding additional website pages;

  • Requesting additional concepts after the agreed concept stage has concluded.

Layouts may reasonably determine whether feedback constitutes a Revision or a new Request.

13. Client Responsibilities

The Client agrees to:

  • Provide clear and accurate briefs;

  • Provide materials required for production;

  • Provide final copy unless copywriting is expressly included;

  • Ensure factual information supplied to Layouts is accurate;

  • Supply timely feedback;

  • Obtain internal approvals;

  • Review Deliverables before publication;

  • Verify prices, claims, spelling, dates, statistics, legal notices, and other material information before use.

Layouts is not responsible for errors originating from inaccurate Client Materials.

The Client remains responsible for final approval before publishing, printing, distributing, launching, or otherwise using Deliverables.

14. Subscriptions and Billing

Layouts offers recurring Subscription plans through Graphitty Digital LLC.

Available Plans, prices, billing periods, production capacity, included services, and features are displayed at checkout or through applicable purchasing materials.

Unless otherwise stated, Subscription fees:

  • Are charged in advance;

  • Automatically renew;

  • Are billed to the payment method on file;

  • Continue until canceled.

By purchasing a Subscription, the Client expressly authorizes Graphitty Digital LLC and its payment processor to charge the applicable recurring Subscription fee at each renewal.

15. Stripe and Payment Processing

Payments may be processed by Stripe or another authorized payment processor.

Graphitty Digital LLC may transmit information reasonably necessary to process:

  • Payments;

  • Renewals;

  • Refunds;

  • Fraud checks;

  • Chargebacks;

  • Payment disputes.

Graphitty Digital LLC does not directly store full payment-card information where such information is handled directly by Stripe.

By providing a payment method, the Client represents that the Client is authorized to use that payment method.

The Client authorizes Graphitty Digital LLC and its payment processor to process applicable:

  • Subscription fees;

  • Approved additional charges;

  • Taxes;

  • Other amounts disclosed during purchase.

The payment descriptor appearing on a Client’s statement may reference Graphitty Digital LLC, Layouts, or another descriptor disclosed through the applicable payment process.

16. Plan Records

Graphitty Digital LLC may retain records showing the Plan Scope applicable when a Subscription was purchased or renewed.

These may include:

  • Pricing-page versions;

  • Checkout records;

  • Plan descriptions;

  • Feature lists;

  • Scope limitations;

  • Exclusions;

  • Terms versions;

  • Acceptance timestamps;

  • Transaction IDs.

Where the publicly displayed Plan Scope later changes, the records applicable to the relevant transaction may be used to establish what the Client purchased at that time.

17. Automatic Renewal

Unless canceled before renewal, Subscriptions automatically renew at the then-applicable billing interval.

By purchasing a recurring Subscription, the Client authorizes recurring billing.

Subscription charges purchase access to creative capacity for the applicable billing period.

Failure to fully use that capacity does not eliminate the payment obligation.

Unused production capacity:

  • Does not accumulate;

  • Does not convert into credit;

  • Does not roll over;

  • Cannot be exchanged for cash

unless expressly stated otherwise.

18. Cancellation

The Client may cancel a Subscription through a cancellation method made available by Layouts.

Cancellation prevents future renewal.

Unless otherwise required by law:

  • Cancellation does not retroactively cancel an already processed billing period;

  • Cancellation does not create a refund entitlement;

  • The Client may continue using applicable Service access until the end of the paid period;

  • Requests remaining after the Subscription expires may remain unfinished;

  • Graphitty Digital LLC is not required to continue production after expiration.

The effective date of cancellation may be established through Graphitty Digital LLC’s, Layouts’, Stripe’s, or another applicable system’s records.

19. No Refunds

Except where required by law or expressly approved in writing by Graphitty Digital LLC, payments are non-refundable.

This includes, without limitation:

  • Unused Subscription time;

  • Unused production capacity;

  • Partial billing periods;

  • Failure to submit Requests;

  • Requests remaining in the queue;

  • Cancellation after renewal;

  • Client delays;

  • Missing Client Materials;

  • Delayed Client feedback;

  • Client changes in business priorities;

  • Complex Projects extending across multiple billing cycles;

  • Dissatisfaction where reasonable revisions remain available.

20. Subscription Capacity, Not Guaranteed Output

Subscription fees purchase access to production capacity.

They do not purchase a guaranteed number of:

  • Designs;

  • Pages;

  • Screens;

  • Concepts;

  • Videos;

  • Hours;

  • Campaigns;

  • Logos;

  • Finished Deliverables

per billing period.

Actual output depends on:

  • Plan capacity;

  • Complexity;

  • Client response times;

  • Revision volume;

  • Request quality;

  • Materials supplied;

  • Scope changes;

  • Specialist requirements;

  • Other reasonable production considerations.

21. Failed Payments

If payment fails, Graphitty Digital LLC or its payment processor may:

  • Retry the payment;

  • Request another payment method;

  • Suspend production;

  • Suspend account access;

  • Pause pending Requests.

Production deadlines may be adjusted after payment is successfully restored.

22. Chargebacks and Payment Disputes

A chargeback, payment dispute, reversal, retrieval request, or other payment challenge does not itself establish that a charge was invalid.

If a Client disputes a payment, Graphitty Digital LLC may provide information reasonably necessary to Stripe, payment networks, issuing banks, acquiring banks, financial institutions, fraud-prevention providers, legal advisers, or other parties involved in resolving the dispute.

Such evidence may include:

  • Subscription details;

  • Recurring-payment authorization;

  • Applicable Terms;

  • Plan Scope;

  • Refund Policy;

  • Cancellation Policy;

  • Evidence showing that policies were presented during purchase;

  • Checkout records;

  • Acceptance timestamps;

  • Transaction information;

  • Invoices;

  • Receipts;

  • Account activity;

  • Request history;

  • Project records;

  • Client briefs;

  • Client Materials;

  • Delivery records;

  • File-download records;

  • Client approvals;

  • Revision requests;

  • Email communications;

  • Support communications;

  • Project-management communications;

  • Cancellation records;

  • Technical records;

  • Other evidence reasonably relevant to the disputed transaction.

The Client acknowledges and agrees that Graphitty Digital LLC may disclose such information where reasonably necessary to respond to a payment dispute, subject to applicable law.

23. Services During a Payment Dispute

If payment is disputed, reversed, charged back, or unpaid, Graphitty Digital LLC may immediately:

  • Pause active Requests;

  • Stop accepting new Requests;

  • Suspend production;

  • Suspend account access;

  • Withhold unfinished work;

  • Withhold Source Files not already transferred;

  • Suspend rights in unpaid Deliverables to the extent permitted by law;

  • Terminate the Subscription.

Graphitty Digital LLC is not required to continue allocating production capacity while payment for that capacity remains unpaid or disputed.

24. Fraudulent or Abusive Payment Disputes

Nothing in these Terms prevents a Client from exercising legitimate payment-dispute rights.

However, knowingly making false statements to a bank or payment provider or intentionally disputing a valid authorized transaction after receiving or using the applicable Service may constitute a material breach of these Terms.

Where legally permitted, Graphitty Digital LLC may:

  • Suspend the Client;

  • Terminate the account;

  • Refuse future Service;

  • Seek recovery of amounts lawfully owed;

  • Recover reasonable collection costs where permitted;

  • Enforce rights relating to unpaid Deliverables.

25. Service and Delivery Records

Graphitty Digital LLC may retain reasonable electronic records relating to use of Layouts.

Records may include:

  • Account creation;

  • Login activity;

  • Subscription purchases;

  • Terms acceptance;

  • Requests;

  • Briefs;

  • Client Materials;

  • Project status;

  • Deliverables;

  • Uploads;

  • Downloads;

  • Feedback;

  • Revisions;

  • Approvals;

  • Communications;

  • Cancellation activity;

  • Billing activity;

  • Timestamps.

Subject to applicable law, these records may be used to establish that a Service was requested, supplied, accessed, delivered, reviewed, approved, or used.

26. Acceptance of Deliverables

A Deliverable may be considered accepted where the Client:

  • Expressly approves it;

  • Downloads the final file;

  • Publishes it;

  • Distributes it;

  • Prints it;

  • Launches it;

  • Uses it commercially;

  • Requests variations based upon it;

  • Approves progression to the next production stage;

  • Otherwise communicates acceptance.

Approval of one stage of a Complex Project does not constitute approval of later stages.

27. Ownership of Deliverables

Subject to full and final payment of all amounts owed, Graphitty Digital LLC assigns to the Client the rights it owns in final Deliverables created specifically for that Client.

Ownership does not transfer until Graphitty Digital LLC has received and retained full payment for the applicable Service.

After transfer, the Client may generally reproduce, display, publish, modify, distribute, and create derivative works from the final Deliverables, subject to third-party licensing restrictions.

28. Payment Reversals and Ownership

Transfer of ownership is conditional upon Graphitty Digital LLC’s final receipt and retention of payment.

If a payment relating to a Deliverable is reversed, charged back, refunded, voided, recovered by a payment provider, or otherwise removed from Graphitty Digital LLC after Deliverables have been provided, rights dependent upon that payment may be suspended until payment is restored, to the extent permitted by applicable law.

29. Company Intellectual Property

Graphitty Digital LLC retains ownership of:

  • Pre-existing intellectual property;

  • Internal methods;

  • Workflows;

  • Processes;

  • Systems;

  • Templates;

  • Tools;

  • Frameworks;

  • Know-how;

  • Undelivered concepts;

  • Rejected concepts;

  • Drafts;

  • Internal production materials.

No ownership of Graphitty Digital LLC or Layouts branding is transferred to the Client.

30. Source Files

Where Source Files are included, Layouts will provide relevant editable production files associated with approved final Deliverables.

Source Files may include files created in applications such as:

  • Figma;

  • Adobe Illustrator;

  • Adobe Photoshop;

  • Adobe InDesign;

  • Adobe After Effects;

  • Adobe Premiere Pro;

  • Canva;

  • Other applicable production tools.

Internal templates, working systems, unused concepts, plugins, automation systems, or proprietary workflows are not automatically included.

31. Third-Party Materials

Deliverables may incorporate third-party materials such as:

  • Fonts;

  • Stock photography;

  • Stock video;

  • Music;

  • Icons;

  • Illustrations;

  • Plugins;

  • Templates;

  • Other licensed assets.

Such materials remain subject to the license terms of their respective owners.

Graphitty Digital LLC cannot transfer greater rights than it holds.

Where the Client requires an additional or extended third-party license, the Client may be responsible for obtaining and paying for that license.

32. Client Materials

The Client represents and warrants that it owns or has appropriate rights to use all Client Materials supplied to Layouts.

The Client authorizes Graphitty Digital LLC and its contractors to use Client Materials solely as reasonably necessary to perform the Service.

The Client is responsible for claims arising from Client Materials that infringe third-party rights.

33. AI-Assisted Production

Graphitty Digital LLC may use artificial intelligence and machine-assisted tools as part of Layouts’ creative and operational workflows.

AI-assisted use may include:

  • Ideation;

  • Research;

  • Image generation;

  • Editing;

  • Production assistance;

  • Automation;

  • Exploration;

  • Variations;

  • Workflow acceleration.

Final Deliverables may also involve human review, creative direction, design judgment, and manual production.

Graphitty Digital LLC does not intentionally use Client confidential information, private Client Materials, or unpublished Requests to train publicly available AI models for the commercial benefit of unrelated third parties.

Because intellectual-property laws concerning AI-generated content continue to evolve, Graphitty Digital LLC does not guarantee that every AI-assisted element will qualify for independent copyright protection in every jurisdiction.

34. Portfolio and Promotional Use

Unless the Client requests otherwise in writing, Graphitty Digital LLC may display completed Deliverables created through Layouts in:

  • Portfolios;

  • Websites;

  • Social media;

  • Case studies;

  • Sales materials;

  • Presentations;

  • Award submissions;

  • Promotional materials.

Graphitty Digital LLC will not intentionally disclose confidential information merely for promotional purposes.

A Client may request that future promotional display of specific Deliverables cease.

Graphitty Digital LLC will make reasonable efforts to remove identified work from properties under its direct control.

35. Confidentiality

Each party agrees to exercise reasonable care to protect confidential non-public information received from the other party.

Confidential information may include:

  • Business strategies;

  • Financial information;

  • Product plans;

  • Unpublished campaigns;

  • Customer information;

  • Credentials;

  • Proprietary systems;

  • Internal documentation.

Confidentiality obligations do not apply to information that:

  • Becomes public without breach;

  • Was previously lawfully known;

  • Was independently developed;

  • Was lawfully obtained from another source;

  • Must be disclosed by law.

Clients requiring enhanced confidentiality may request a separate NDA.

36. Acceptable Use

The Client must not use Layouts to request, create, distribute, or facilitate material that:

  • Violates applicable law;

  • Infringes third-party intellectual property;

  • Facilitates fraud;

  • Facilitates phishing;

  • Facilitates unlawful impersonation;

  • Contains malware;

  • Exploits or sexualizes minors;

  • Promotes unlawful violence;

  • Facilitates criminal activity;

  • Unlawfully harasses or discriminates against others.

Graphitty Digital LLC may decline or suspend Requests that reasonably violate this Section.

37. Account Registration

The Client may be required to create an account.

The Client agrees to:

  • Provide accurate information;

  • Maintain account security;

  • Protect login credentials;

  • Notify Layouts of suspected unauthorized access.

The Client is responsible for activity reasonably attributable to its account.

The person purchasing the Service must be at least eighteen (18) years old and legally capable of entering into a contract.

If purchasing on behalf of a company, that person represents that they have authority to bind that organization.

38. Suspension and Termination

Graphitty Digital LLC may suspend or terminate access to Layouts where a Client:

  • Materially breaches these Terms;

  • Fails to pay;

  • Commits fraud;

  • Engages in abusive conduct;

  • Threatens or harasses personnel;

  • Misuses the Service;

  • Violates applicable law;

  • Materially interferes with operations;

  • Initiates knowingly fraudulent payment disputes.

Termination does not eliminate payment obligations arising before termination.

To the maximum extent permitted by applicable law, Layouts and the Services are provided “AS IS” and “AS AVAILABLE.”

Graphitty Digital LLC does not warrant that:

  • The Service will always be uninterrupted;

  • Every Request will be completed by a particular date;

  • Every Deliverable will be error-free;

  • A Deliverable will produce a particular commercial result;

  • Creative work will achieve particular advertising, financial, marketing, conversion, growth, or business outcomes.

The Client is responsible for determining whether Deliverables are suitable for their intended use.

40. Limitation of Liability

To the maximum extent permitted by applicable law, Graphitty Digital LLC’s total aggregate liability arising from or relating to the Service or these Terms will not exceed the amount of Subscription fees actually paid by the Client to Graphitty Digital LLC during the one (1) month immediately preceding the event giving rise to the claim.

Graphitty Digital LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, opportunities, data, goodwill, or business.

Nothing in these Terms limits liability that cannot lawfully be limited.

The Client agrees to defend, indemnify, and hold harmless:

  • Graphitty Digital LLC;

  • Layouts;

  • Their officers;

  • Contractors;

from claims, liabilities, losses, damages, costs, and reasonable legal expenses arising from:

  • The Client’s breach of these Terms;

  • Client Materials;

  • Client infringement of third-party rights;

  • The Client’s unlawful use of Deliverables;

  • The Client’s misuse of the Service;

  • False or unlawful content supplied by the Client.

42. Electronic Communications and Records

The Client agrees that transactions and communications may occur electronically.

Electronic records may include:

  • Checkout acceptance;

  • Terms acceptance;

  • Plan Scope acceptance;

  • Email;

  • Project-management communications;

  • Stripe records;

  • Electronic invoices;

  • Support records;

  • Digital signatures;

  • Account activity.

Such electronic records may be retained and relied upon subject to applicable law.

43. Changes to Plans and Scope

Graphitty Digital LLC may introduce, modify, or discontinue Layouts Plans or features.

Material pricing changes affecting an existing recurring Subscription will be communicated with reasonable advance notice where required.

The Plan Scope associated with a prior transaction may remain relevant in determining what was purchased during that billing period.
